1. Acceptance of Terms
By accessing or using the 1099 Finder platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service, including contractors and businesses.
2. Description of Service
1099 Finder is an online marketplace that connects independent contractors ("Contractors") with businesses seeking skilled tradespeople ("Businesses"). We provide a platform for posting job opportunities, browsing contractor profiles, and facilitating direct connections. 1099 Finder is not an employer, staffing agency, or party to any agreement between Contractors and Businesses.
3. Eligibility
You must be at least 18 years of age and legally authorized to work in the United States to use this Service. By using the Service, you represent and warrant that you meet these requirements. Businesses must be legally registered entities authorized to engage independent contractors under applicable law.
4. User Accounts
To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.
5. Contractor Responsibilities
Contractors are solely responsible for determining their own tax obligations, including self-employment taxes, and for complying with all applicable federal, state, and local laws. Contractors represent that they are independent contractors and not employees of 1099 Finder or any Business found through the platform. Contractors are responsible for the accuracy of their profile information, licensing claims, and credentials.
6. Business Responsibilities
Businesses are responsible for properly classifying workers engaged through the platform in accordance with IRS guidelines and applicable state law. Businesses agree to issue appropriate 1099 tax forms to Contractors as required by law. 1099 Finder does not provide legal, tax, or HR advice, and Businesses should consult qualified professionals regarding worker classification.
7. Prohibited Conduct
You agree not to: (a) post false, misleading, or fraudulent information; (b) harass, threaten, or harm other users; (c) circumvent the platform to avoid subscription fees after making initial contact through the Service; (d) use the Service for any unlawful purpose; (e) scrape, crawl, or otherwise extract data from the platform without written permission; or (f) impersonate any person or entity.
8. Subscription and Payments
Access to certain features requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Payments are processed by Stripe and subject to Stripe's terms of service.
9. Intellectual Property
The Service and its original content, features, and functionality are owned by 1099 Finder and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission. User-submitted content remains your property, but you grant us a non-exclusive license to display it on the platform.
10. Marketplace Disclaimer
1099Finder.com is an online marketplace that connects businesses with independent contractors. We do not employ, supervise, manage, or control any contractor listed on this platform. Contractors using 1099Finder.com are independent businesses and are not employees, agents, partners, or representatives of 1099Finder.com. We do not guarantee: the quality of work performed; contractor qualifications or experience; licensing or insurance status; background checks; availability; pricing; timeliness; safety; or customer satisfaction. Users are solely responsible for conducting their own due diligence before hiring or contracting with any service provider.
11. No Liability
To the fullest extent permitted by law, 1099Finder.com shall not be liable for: property damage; personal injury; financial loss; missed deadlines; contract disputes; fraud; poor workmanship; code violations; licensing violations; insurance claims; or any damages arising out of services performed by independent contractors. Any agreement for services is solely between the customer and the contractor.
12. No Warranty
All information on the website is provided "AS IS" without warranties of any kind. 1099Finder.com makes no representations regarding the accuracy, completeness, or reliability of contractor profiles or user-submitted information.
13. Independent Contractor Status
Each contractor represents that they are: operating as an independent business; responsible for all applicable taxes; responsible for required licenses; responsible for insurance; and responsible for complying with all applicable federal, state, and local laws. 1099Finder.com does not create an employer-employee relationship.
14. User Responsibility
Customers agree to: verify contractor credentials; request proof of insurance; verify licensing where required by law; obtain written contracts for all work; and perform their own due diligence before engaging any contractor found through the platform.
15. General Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. 1099 FINDER DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. WE DO NOT VERIFY THE CREDENTIALS, LICENSES, OR QUALIFICATIONS OF ANY CONTRACTOR OR BUSINESS AND MAKE NO REPRESENTATIONS REGARDING THE QUALITY OF WORK PERFORMED.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 1099FINDER.COM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. THE TOTAL LIABILITY OF 1099FINDER.COM FOR ANY CLAIM SHALL NOT EXCEED $100 OR THE AMOUNT PAID TO 1099FINDER.COM BY THE USER IN THE PREVIOUS 12 MONTHS, WHICHEVER IS LESS.
17. Indemnification
Users agree to defend, indemnify, and hold harmless 1099Finder.com, its owners, officers, employees, and affiliates from any claims, damages, losses, liabilities, costs, and attorney fees arising from their use of the platform, their violation of these Terms, or their violation of any third-party rights.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Harris County, Texas.
19. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and, where appropriate, by email. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
